1. NAME

The name of the Society shall be the Anthroposophical Society in America, Inc., hereafter referred to also as the Society.

 

2. RELATION TO THE GENERAL ANTHROPOSOPHICAL SOCIETY

The Anthroposophical Society in America is a part of the General Anthroposophical Society whose center is at the Goetheanum, Dornach, Switzerland, and its members adhere to and accept the Principles given by Rudolf Steiner at the founding of the General Society in 1923, and the Bylaws registered on March 3, 1925. A copy of these Principles and Bylaws is attached hereto as part of these Bylaws.

 

3. ORGANIZATION

The conduct of the affairs of the Society shall be in the hands of:

a) The Council

b) The Regional Councils of the Eastern, Mid-West, and Western Regions and any others that may, in time, be added with the approval of the Council.

c) Duly constituted meetings of the members of the Society in the Regions and at the Annual General Meeting.

 

4. MEMBERSHIP

a) Anyone subscribing to the above-mentioned Principles is eligible for membership in the General Anthroposophical Society in America, Inc. Anyone who is already a member of the General Anthroposophical Society is eligible for membership in the Anthroposophical Society in America, Inc.

b) Whereas membership in a Group is not obligatory, this is recommended for every member of the Society wherever possible, in accordance with the wish expressed by Rudolf Steiner in No. II of the Principles of the General Anthroposophical Society.

c) The applicant becomes a member of the General Anthroposophical Society and the Anthroposophical Society in

America upon receiving a membership card signed by a person duly designated by the Council, and countersigned by the President of the General Anthroposophical Society in Dornach, Switzerland.

 

5. GROUPS AND BRANCHES

a) Seven or more members of the Anthroposophical Society in America meeting regularly for active Group work may request formal recognition as a Group. Two or more Groups may request formal recognition as a Branch. Such requests should be addressed to the Regional Councils, which will refer them to the Council. The Council will respond directly to applications coming from Groups working in areas which are not part of an established region.

b) In addition to the above, Subject or Professional Groups consisting of seven or more members, which are engaged in regular work on particular aspects of Anthroposophy and who come together in order to coordinate and intensify their efforts, can request formal recognition from the Council.

c) Such new Groups will apply for recognition in a letter carrying the signature of all Group members.

d) If Regions, Branches, or other duly recognized Groups of the Anthroposophical Society in America wish to incorporate, their respective articles of incorporation and bylaws must not conflict with those of the Anthroposophical Society in America.

 

6. THE COUNCIL

a) The Council shall be comprised of not less than five, nor more than fifteen active members of the Anthroposophical Society in America.

b) The Council will choose one or more chairpersons from its own members.

c) A quorum of the Council shall be a majority of its members, but not less than five.

d) The Council may from time to time delegate certain responsibilities to Regional Councils, which will consult with the Council in all matters likely to affect the affairs of the whole of the Anthroposophical Society in America.

e) Any action required or permitted to be taken by the Council may be taken without a meeting if all members of the Council consent in writing to the adoption of a resolution authorizing the action. The resolution and written consents shall be filed with the minutes of the Council proceedings.

f) Any one or more members of the Council may participate in a meeting of the Council by means of a conference telephone or similar communications equipment which allows all participants to hear each other at the same time.

 

7. DUTIES OF THE COUNCIL

a) The activities of the Council shall be directed toward the furthering of the aims of the General Anthroposophical Society as expressed in Paragraph One of the Principles of the General Anthroposophical Society. It shall conduct the administration of the Anthroposophical Society in America in light of its character as a National Branch of the General Anthroposophical Society.

b) The Council will establish its own rules of procedure, delegate responsibilities or form committees.

c) The Chairperson or persons of the Council shall insure the proper conduct of all meetings of the Council.

d) The Council will maintain close relationship with the membership and with the leadership of the General Anthroposophical Society.

e) The Council shall administer the affairs of the Anthroposophical Society in America in close relationship with the Regional Councils.

f) The Council will meet at least three times annually and transact such business as may come before it.

 

8. REGIONAL COUNCILS

Regional Councils shall be formed by the members of the Regions and consist of three or more members. They will provide reports of their regional activities to the Council.

 

9. THE BOARD OF DIRECTORS

The Council shall constitute the governing body of the Anthroposophical Society in America and shall be its Board of Directors.

 

10. DUTIES OF THE BOARD OF DIRECTORS

a) A Chairperson of the Council shall be elected by the members of the Council to act with full power of Chief Executive Officer of the Board and with the legal power of President of the Board. He or she or persons designated by him or her shall sign or countersign, as may be necessary, all such bills, notes, checks, contracts and other instruments as may pertain to the ordinary course of the Society's business, and shall sign all contracts, deeds, orders, liens, licenses and other instruments of a special nature. He or she may also, in the absence or disability of the Treasurer, endorse checks, drafts and other negotiable instruments for deposit or collection. He or she shall have such usual powers of supervision and amendment as may pertain to this office, and shall perform all such other duties as are incident to this office or are properly required by the Board of Directors.

b) The Council shall appoint a person as Secretary. This person shall issue notices for all meetings of the Board of Directors and all General Meetings of the Society, shall keep the Minutes of the Board of Directors, shall have charge of the Seal and corporate books, shall sign with the Chairperson such instruments as require such signature and shall sign such documents and perform such other duties as are incident to this office or are properly required by the Board of Directors. The Secretary may delegate certain of these duties with the approval of the Board of Directors.

c) A Treasurer, duly appointed by the Council, shall supervise receipt and disbursement of all funds of the Society, shall sign or countersign such instruments as require the Treasurer's signature and shall perform all duties incident to this office or that may be properly required by the Board of Directors. Together with members of the Council, the Treasurer shall draft the annual budget for the Society. The Treasurer shall prepare appeals for funds to meet the budget of the Society in America and to aid in meeting that of the General Society. The Treasurer shall prepare a report on the financial condition of the Society and shall present this to the Annual General Meeting of the Society. The Balance Sheet, Statement of Income, Expenses and General Fund Balance will be prepared by a Certified Public Accountant. This report shall be submitted thirty days in advance of the General Annual Meeting to the Regional Councils.

 

11. THE GENERAL MEMBERS MEETING OF THE ANTHROPOSOPHICAL SOCIETY IN AMERICA

a) An Annual General Meeting of members shall be held every year for the purpose of receiving reports from the Council, discussing matters of general interest to the Anthroposophical Society in America, including accepting or rejecting the Financial Report, ratifying amendments to the Bylaws and planning for the furtherance of Anthroposophy.

b) Extraordinary General Meetings of the Anthroposohical Society in America may be called at the initiative of the Council or at the request of one-fifth of the membership.

c) The General Council shall appoint the Chairperson for the General meeting of the Anthroposophical Society in America.

d) Notice and agenda for General Meetings shall be drawn up by the Council and submitted to the membership thirty days in advance of the meeting. Agenda items for the consideration of General Meetings can also be proposed by the Regional Councils and by individual members. They must be formulated in writing and sent by first-class mail to the Council at least sixty days prior to the meeting.

e) A resolution passed by a two-thirds majority of any General Meeting shall be placed on the agenda of the next meeting of the Council which shall then report promptly its disposition to the membership.

f) In all cases where a quorum of members is required by laws for the transaction of business before a members' meeting, the presence in person or by proxy of members entitled to cast one-tenth of the total number of votes entitled to be cast shall constitute a quorum of members for the transaction of business at a members' meeting.

 

12. ELECTIONS

  1. The Council is free to co-opt its members. The Regional Councils are encouraged to suggest the names of members to be considered by the Council for co-option. One member of each Regional Council will also serve as a member of the General Council. Council members serve for a three year, renewable term.
  2. When co-opting a new Council member, the Council will consult the Regional Council from whose region the prospective member comes. The co-option to the Council becomes final upon approval by the respective Regional Council.
  3. In all cases, re-nomination shall be possible.
  4. The Chairpersons or other members of the Council will remain in their respective positions until their successors have been duly appointed.

13. NOTICE

The Newsletter of the Anthroposophical Society in America shall be the official organ of the Society and shall be legal notice to the members of the content thereof.

 

14. THE SEAL OF THE SOCIETY

The Corporate Seal of the Society shall consist of two concentric circles between which is the name "Anthroposophical Society," and in the center: "Incorporated 1933, New York," and such Seal as impressed on the margin shall be the Corporate Seal of the Society.

 

15. DUES AND FISCAL RESPONSIBILITY

a) The membership dues of the Anthroposophical Society in America shall be fixed by the Council.

b) The Council is authorized to receive, invest or distribute grants, donations and bequests of all kinds and to enter into such associations with foundations or financial ventures, specifically with the Rudolf Steiner Foundation, as would benefit the furtherance of the aims of the Anthroposophical Society in America.

 

16. EXCLUSION OF MEMBERS

The Council reserves the right to recommend to the leadership of the General Anthroposophical Society that a member be excluded from the Anthroposophical Society in America.

 

17. AMENDMENT OF BYLAWS

These Bylaws of the Anthroposophical Society in America may be amended at the suggestion of a two-third majority of the Council attending in a duly constituted meeting after intention to consider amendment has been known to all members of the Council at least thirty days in advance. Such amendment shall go into effect if ratified at an Annual Meeting or a special General Meeting duly called by the Council.
